Top Down Tabletop — Terms of Service & End User License Agreement
These Terms of Service and End User License Agreement (the “Terms”) form a binding agreement between you (“you” or “User”) and Short & Stout Studios, LLC (“Short & Stout Studios,” “we,” “us,” or “our”) governing your access to and use of the Top Down Tabletop desktop application, the Top Down Tabletop mobile/web companion, and all related content, data, features, and services (collectively, the “Service”). By creating an account, checking the box indicating your agreement, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Acceptance & Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction (typically 18), you may use the Service only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13. By using the Service you represent that you meet these requirements and that the information you provide is accurate.
Adult-only features. You must be at least 18 years old to use Webcam Play (including Quick Match, lobbies, and Looking for Group) and Tournament: Online Play, and to send or receive message requests from players who are not your friends. We ask for your date of birth to apply these limits, and you agree to provide it truthfully. Giving a false date of birth to reach an adult-only feature is a violation of these Terms.
The Service is not available to anyone we have previously suspended or removed from it, or to anyone barred from receiving it under the laws of the United States (including its export and sanctions laws) or any other applicable jurisdiction. By using the Service you represent that neither applies to you.
2. The Service; Unofficial Companion Disclaimer
Top Down Tabletop is an independent digital companion and assistance tool for physical tabletop and trading card games, including without limitation Dice Throne, Magic: The Gathering, the Pokémon Trading Card Game, Disney Lorcana, the One Piece Card Game, Star Wars: Unlimited, Yu-Gi-Oh!, and Riftbound. Top Down Tabletop is an unofficial, independent product. It is not affiliated with, endorsed by, sponsored by, or approved by any rights holder of any game referenced in the Service, including without limitation Roxley Games (Roxley Game Laboratory) and Dice Throne, Inc.; Wizards of the Coast LLC and Hasbro, Inc.; The Pokémon Company (International); Disney Enterprises, Inc. and Ravensburger AG; Bandai Co., Ltd. and Bandai Namco; Fantasy Flight Games and the Asmodee Group; Lucasfilm Ltd.; Konami Digital Entertainment; or Riot Games, Inc. All game names, logos, characters, card images, artwork, rules text, and marks referenced in or displayed through the Service are the trademarks and/or copyrighted works of their respective owners. Short & Stout Studios claims no ownership of and asserts no rights to that third-party intellectual property; such material is referenced solely to identify the physical games players already own, and the Service is intended for use by players who lawfully own the corresponding physical games. The Service provides tracking, cataloging, deck-list, and community features only — it does not simulate gameplay, enforce game rules, or substitute for owning the physical games. Deck lists you keep in the Service are records of physical cards; they do not give you any card or any right in any card.
3. License to Use the Service
Subject to your continuous compliance with these Terms, Short & Stout Studios grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and our Content (defined below) solely for your own personal, non-commercial purposes. The Service and our Content are licensed, not sold. We reserve all rights not expressly granted to you.
4. Our Content & Intellectual Property
“Content” means all material we make available through the Service that is not third-party intellectual property described in Section 2, including without limitation our original strategy guides, character analyses, tips, matchup write-ups, tier assessments, commentary, compiled and curated data sets, databases, leaderboards and rankings, text, graphics, user interfaces, software, and the selection, coordination, arrangement, compilation, and presentation of all data within the Service. As between you and Short & Stout Studios, the Content is owned by Short & Stout Studios and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. We expressly claim copyright in the original selection, arrangement, compilation, and presentation of all information in the Service.
You may not, without our prior express written consent:
- copy, reproduce, republish, distribute, publicly display, transmit, sell, rent, lease, sublicense, or otherwise exploit any of our Content, in whole or in part;
- create derivative works from, or use our Content to build, train, populate, or improve any product, dataset, model, compilation, database, or directory;
- use our strategy tips, guides, character analyses, or compiled data for any commercial purpose; or
- remove, obscure, or alter any copyright, trademark, or other proprietary notice.
Some Content — including leaderboards, ratings, statistics, match history, and other players’ profile data — is made available only to signed-in users. Making some Content publicly viewable (such as card and codex pages) does not grant you any additional rights in it; the restrictions above apply to all Content, whether or not you need to sign in to see it.

5. Prohibited Conduct; No Scraping or Automated Access
You agree that you will not, and will not permit or assist any third party to:
- use any robot, spider, scraper, crawler, bot, data-mining tool, harvesting tool, or other automated means or process to access, extract, harvest, copy, monitor, index, or aggregate any portion of the Service or Content without our prior express written permission;
- circumvent, disable, or interfere with any access controls, authentication, rate limiting, or security features of the Service, or access any area of the Service you are not authorized to access;
- access the Service through any automated or bulk means, or in a manner that imposes an unreasonable or disproportionately large load on our infrastructure;
- reverse engineer, decompile, or disassemble any part of the Service except to the extent that applicable law expressly permits despite this limitation;
- use the Service to infringe the intellectual property or other rights of any party, including the rights of the owners of Dice Throne or other referenced games;
- upload or transmit any malware, or engage in any harassing, abusive, fraudulent, or unlawful conduct;
- create, post, transmit, or show any content that is unlawful, infringing, defamatory, obscene, pornographic, sexually explicit, hateful, threatening, harassing, or invasive of anyone’s privacy or publicity rights;
- impersonate any person or entity, falsely claim an affiliation with any person or entity (including us, a shop, or a game publisher), or misrepresent the source of anything you send through the Service;
- send spam, unsolicited advertising, chain messages, or other bulk solicitations to other users;
- harvest or collect other users’ email addresses, contact details, or other personal information, or collect personal information about anyone without their consent;
- create a new account, or use another person’s account, to get around a suspension, ban, mute, or other restriction we have placed on you;
- misrepresent a match result, collude with another player, or share an account to raise a rating (“boosting”);
- copy, republish, aggregate, or collect by automated means any leaderboard, rating, statistic, match history, or other player’s profile data. That data is provided only to signed-in users who have accepted these Terms, for their own personal, non-commercial use; or
- cheat, manipulate rankings or statistics, or use the Service in any manner not expressly permitted by these Terms.
Access to the Service is authorized only through the interfaces we provide and only for the purposes permitted by these Terms. Any access that exceeds this authorization — including continued access after we have suspended, terminated, or revoked it — is unauthorized.
6. Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate registration information, to keep it current, and to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account. Your account is personal to you: you may not sell, rent, lease, transfer, or share it, or give anyone else access to it. If you let someone else use your account, you are responsible for what they do with it.
7. User-Generated Content
The Service may allow you to submit content such as a display name, profile information, chat messages, or other materials (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Short & Stout Studios a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, and distribute your User Content solely for the purpose of operating, providing, and improving the Service. You represent that you have the rights necessary to grant this license and that your User Content does not violate these Terms or any law. If your User Content includes the name, image, likeness, or voice of anyone else, you represent that you have their permission. The license above ends a commercially reasonable time after you delete the User Content or your account, except where others have already received it through the Service (for example a chat message they were sent), where it is held as report evidence or as our moderation record, for the time it takes to clear it from backups, or where the law requires us to keep it.
Moderation. We may remove, hide, restrict, or otherwise moderate any User Content at any time and without notice, including where we believe it violates these Terms or the law. We do not endorse User Content and are not responsible for it; to the extent permitted by law, we disclaim all liability for User Content posted by others, and your use of other users’ content is at your own risk. You are responsible for keeping your own copies of anything you post.
8. Copyright Complaints (DMCA)
We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act. If you believe Content on the Service infringes your copyright, send a written notice containing the information required by 17 U.S.C. § 512(c)(3) to our designated agent: Short & Stout Studios, LLC (Attn: DMCA Agent), 5900 Balcones Drive #29903, Austin, TX 78731, United States, legal@topdowntabletop.com. We will respond to valid notices, provide counter-notice procedures, and terminate the accounts of repeat infringers in appropriate circumstances.
9. Suspension, Termination & Refusal of Service
We may, in our sole discretion, suspend, terminate, restrict, or refuse your access to all or part of the Service, with or without notice, for any lawful reason, including any actual or suspected violation of these Terms or conduct we deem harmful to the Service, other users, or us. Upon termination, the licenses granted to you end and you must cease all use of the Service and Content.
Non-discrimination. Nothing in these Terms authorizes us to refuse, suspend, or terminate service on the basis of race, color, religion, sex, national origin, disability, or any other characteristic protected by applicable federal, state, or local law. Our discretion to refuse or terminate service is exercised consistent with all applicable civil-rights and anti-discrimination laws.
10. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SHORT & STOUT STUDIOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY STRATEGY, TIP, OR DATA WILL BE ACCURATE OR PRODUCE ANY PARTICULAR RESULT.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHORT & STOUT STUDIOS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS ALSO APPLY TO PRODUCTS, SERVICES, AND WEBSITES OF THIRD PARTIES THAT YOU REACH THROUGH THE SERVICE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, for gross negligence or willful misconduct, or for any other liability that cannot be limited under applicable law. You agree that the disclaimers and limitations in Sections 10 and 11 are a reasonable allocation of risk and an essential basis of the bargain between you and us.
12. Indemnification
You agree to defend, indemnify, and hold harmless Short & Stout Studios and its officers, members, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Service, or your breach of these Terms or of any law or third-party right. We may, at your expense, take over the exclusive defense and control of any matter you must indemnify us for, and you agree to cooperate with our defense.
13. Dispute Resolution; Arbitration & Class-Action Waiver
Please read this section carefully — it affects your legal rights.
Informal resolution first. Most disputes can be resolved informally. Before starting an arbitration or court case, you and we each agree to send the other a written notice describing the dispute and the relief sought (yours to legal@topdowntabletop.com, ours to the email address on your account), and to try in good faith to resolve it for sixty (60) days after the notice is received. Any deadline for bringing the claim is paused during those sixty days.
Arbitration. Except for claims that qualify for small-claims court and claims for injunctive relief relating to intellectual property, you and Short & Stout Studios agree to resolve any dispute arising out of or relating to these Terms or the Service through final and binding individual arbitration, administered under the Federal Arbitration Act, rather than in court. The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect, before a single arbitrator, and will take place in the county where you live or by video conference; fees are allocated as those rules provide. You and Short & Stout Studios waive any right to a jury trial and agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. You may opt out of this arbitration agreement by sending written notice to legal@topdowntabletop.com within thirty (30) days of first accepting these Terms; opting out will not affect any other provision.
14. Governing Law & Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, you and Short & Stout Studios submit to the exclusive jurisdiction and venue of the state and federal courts located in Harris County, Texas.
15. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will update the version number and effective date and provide reasonable notice — and, for material changes, require you to affirmatively accept the updated Terms before continuing to use the Service. Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms.
16. Miscellaneous
If any provision of these Terms is held unenforceable, that provision will be limited or severed and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Short & Stout Studios regarding the Service and supersede all prior understandings. Additional terms that we show you for a specific feature (such as the terms for paid features in Section 19) are part of these Terms when they apply. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Survival. Sections 4, 7 (as to licenses that continue), 8, and 10 through 14, and any other provision that by its nature should survive, survive the end of these Terms, including after your account is deleted.
17. Webcam Play Safety Capture, Conduct & Moderation
Consent to safety capture is a condition of Webcam Play. While you play Webcam Play, the desktop application periodically captures encrypted images of the match window, which includes both players’ camera feeds, as described in our Privacy Policy. If you do not consent, or you withdraw your consent, you cannot use Webcam Play. Consent cannot be withdrawn during a match, and withdrawing it ends your Webcam Play session.
You may report another player for conduct that violates these Terms. When a report is filed, captured frames from the match may be sent to us for review, whether you are the reporter or the reported player. Filing a false, misleading, or malicious report is itself a violation of these Terms and may result in suspension or termination under Section 9.
Evidence submitted with a report, including captured frames and in-game chat, is used only to review that report and to enforce these Terms. It is reviewed only by authorized moderators and is handled as described in the Privacy Policy.
Conduct on camera. Everything in Section 5 applies to what you show and say on camera. In addition, you must not show nudity or sexual content on camera; you must not show anyone on camera who has not agreed to appear; and you must not record, screenshot, stream, or share another player’s camera feed, or any part of a match that shows them, outside the Service without their permission. Sending material to us with a report, or to law enforcement, is permitted.
18. Ending Your Account & Account Deletion
You may stop using the Service at any time. You may also delete your account from your account settings. When you ask us to delete your account, it is locked immediately and you are signed out everywhere. You can restore it by signing in within fourteen (14) days; after that, we anonymize it: your email address, display name, avatar, profile, decks, collection, friends, messages, and posts are erased, and match results, statistics, and tournament results you took part in remain, shown as “Deleted player.” We keep payment, terms-acceptance, report, moderation, and enforcement records as described in the Privacy Policy. Deleting your account does not end obligations that survive under Section 16, and does not entitle you to a refund except as the terms for paid features provide.
19. Paid Features
Some features of the Service, such as shop subscriptions, are paid. Paid features are subject to the additional terms shown to you before you buy, which are incorporated into these Terms and control over these Terms for that purchase if the two conflict. Payments are processed by our third-party payment processor; we do not receive or store your full card number. We may change the price of a paid feature with advance notice as those terms describe.
20. Desktop Software: Updates, Crash Reports & Open-Source Components
Updates. The desktop application checks for and installs updates automatically. Some updates are required to keep using the Service. These Terms apply to every update we provide, unless the update comes with its own terms.
Crash reports. If the application or a web page encounters an error, it may send a crash report to our own servers, as described in the Privacy Policy. Crash reports are not sent to any third party.
Open-source components. The application includes open-source software components. Each is licensed under its own license terms, which are included with the application, and to the extent those terms conflict with these Terms, they control as to that component.
Ending the license. When these Terms or your license end, you must stop using and uninstall the desktop application.
21. Third-Party Content, Services & Links
The Service may display or link to content, websites, and services that we do not control, including card data and images from third-party sources, payment pages, and game publishers’ websites. We do not endorse them and are not responsible for their content, accuracy, availability, or practices, and your use of them is at your own risk and subject to their own terms. Your dealings with any shop, event organizer, or advertiser found through the Service are solely between you and them.
22. Feedback
If you send us ideas, suggestions, or other feedback about the Service, you agree that we may use and disclose them for any purpose without compensation or credit to you.
23. Our Trademarks
“Top Down Tabletop,” our logos, and the look and feel of the Service are our trademarks and trade dress. You may not use them without our prior written permission in any way that is likely to cause confusion or that suggests we sponsor or endorse you. All other trademarks referenced in the Service belong to their respective owners (see Section 2).
